Wholesale Terms of Service

Welcome to Chez Gagné! These Wholesale Terms of Service (“Terms,” “Agreement”) govern your wholesale account and all wholesale purchases from Chez Gagné LLC (“Chez Gagné,” “we,” “us,” “our”). By applying for a wholesale account or placing an order, you (“Retailer,” “you”) agree to these Terms. Please read them carefully before ordering.

WHOLESALE ACCOUNT APPROVAL

All wholesale accounts require approval by Chez Gagné. We reserve the right to deny, suspend, or revoke wholesale accounts at our discretion if policies are not followed.

If you are entering into these Terms on behalf of a business, you confirm that you have the authority to bind that entity, and all references to “you” apply to both you as an individual and the business you represent.

ORDER MINIMUMS

  • Opening Order Minimum: $250
  • Reorder Minimum: $150
    Orders below these thresholds may be declined or adjusted.

PRICING & PAYMENT TERMS

  • Wholesale pricing is available only to approved accounts.
  • Prices are subject to change without notice, but orders placed before a published increase will honor the prior pricing.
  • Unless otherwise arranged, wholesale orders are prepaid. Net terms may be extended to approved accounts, and late payments may incur finance charges.

DISPLAY & PACKAGING

  • All products must be sold in their original packaging.
  • If you sell Chez Gagné products online, product titles and descriptions must credit Chez Gagné, and at least one image must show the product in its original packaging.

PROHIBITED SALES CHANNELS

Retailers are strictly prohibited from selling Chez Gagné products on third-party marketplaces, including but not limited to:

  • Amazon
  • Etsy
  • eBay
  • Walmart Marketplace
  • Facebook Marketplace

Chez Gagné products may only be sold through your approved physical retail locations and/or your official business website(s). Violation of this policy may result in immediate termination of wholesale privileges.

SHIPPING + RISK OF LOSS

  • Orders ship FOB North Hollywood, CA, typically via USPS or UPS Ground unless otherwise arranged.
  • Risk of loss transfers to you once the order has been handed to the carrier.
  • Chez Gagné is not responsible for delays caused by carriers, weather, or customs.
  • International Orders: Duties, taxes, and VAT are not included in your order total and are the responsibility of the Retailer. All international sales are final. Refused or returned packages will not be refunded or reshipped.

DAMAGES & CLAIMS

  • Please inspect shipments immediately upon arrival. All claims for shortages or damages must be reported within 7 business days of delivery and must include photos.
  • Approved claims may be credited or replaced at our discretion.
  • Unsold seasonal merchandise cannot be returned.
  • All wholesale sales are final unless merchandise is defective and pre-authorized for return.

PRODUCT INFORMATION & WARNINGS

  • Some products may contain materials subject to California Proposition 65 warnings.
  • Shower Steamers may discolor surfaces; we recommend rinsing after each use with a gentle cleanser.
  • Letterpress Greeting Cards are printed on 100% cotton, packaged with biodegradable cello sleeves, and paired with FSC-certified neon envelopes. Slight variations are normal and part of the handmade process.

INTELLECTUAL PROPERTY

All product designs, copy, packaging, trademarks, logos, and creative assets are the exclusive property of Chez Gagné.

  • Retailers may use Chez Gagné product images for marketing and sales, provided they are not altered.
  • Unauthorized reproduction, modification, or misuse of Chez Gagné intellectual property is prohibited.
  • Retailers may not create or sell derivative products that infringe on Chez Gagné designs or branding.

MARKETING & BRAND USE

Chez Gagné branding and materials may only be used in ways consistent with our brand guidelines. Any misleading, inappropriate, or harmful use of Chez Gagné’s name, designs, or trademarks is prohibited.

RETURNS & REFUSALS

  • All wholesale sales are final.
  • Packages refused or returned are subject to full shipping and handling charges. Credits will not be issued for freight, duties, or refused shipments.

TERMINATION OF ACCOUNT

Chez Gagné reserves the right to suspend or terminate your wholesale account at any time if:

  • Payment obligations are not met,
  • Products are resold through unauthorized channels,
  • Intellectual property is misused, or
  • Retailer conduct damages the Chez Gagné brand.

WARRANTY DISCLAIMER

Our products and services are provided “as is” without any warranties, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • Chez Gagné is not liable for any indirect, incidental, punitive, or consequential damages.
  • Our total liability for any claim shall not exceed the total purchase price of the product(s) giving rise to the claim.

INDEMNIFICATION

You agree to indemnify and hold harmless Chez Gagné, its affiliates, and employees from any claims, damages, or expenses arising from your use of our products, your resale practices, or your violation of these Terms.

DISPUTE RESOLUTION & CLASS ACTION WAIVER

Any disputes or claims related to these Terms will be resolved through binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.

By agreeing to these Terms, you waive the right to a jury trial and the right to participate in class or representative actions, except where prohibited by law.

GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

ENTIRE AGREEMENT

These Terms, together with any referenced policies or written agreements, constitute the entire agreement between Chez Gagné and the Retailer. They supersede all prior agreements, representations, or understandings.
